By accessing or using the Nodsly platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms apply to all visitors, business account holders, and end users who receive messages through our platform.
2. Description of Service
Nodsly is an automated review collection and distribution platform. Businesses use Nodsly to send SMS and email review requests to their customers. Nodsly distributes collected reviews across third-party platforms including Google, Facebook, Yelp, and others on behalf of the business.
Nodsly acts as a service provider to the business. We send messages on behalf of the business using contact information that the business provides to us from their own customer relationship management (CRM) system or intake process.
3. SMS Messaging Program Terms
Program Name: Nodsly
Program Description: Nodsly is an SMS review request service. We send automated SMS messages on behalf of businesses for the purpose of collecting customer reviews and feedback. Messages may include a review request, a follow-up reminder, and a link to leave a review on the business's preferred platform(s). Messages are not promotional or marketing in nature.
Message Frequency: Message frequency varies. You will receive a maximum of 3 SMS messages per service event (review request cycle). You will not receive ongoing marketing or promotional messages.
Message & Data Rates: Message and data rates may apply. Contact your mobile carrier for details about your plan.
Opt-In & Consent: Consent to receive SMS messages is collected by the business directly, through their own CRM, website, point-of-sale, or in-person intake process — separate from the Nodsly platform. By providing your phone number and consent to the business, you authorize Nodsly to send review-related messages on that business's behalf. Consent is not a condition of purchasing any goods or services from the business.
Opt-Out: You may opt out of receiving SMS messages at any time by replying STOP to any message you receive from us. After replying STOP, you will receive a one-time confirmation: "You have been unsubscribed from Nodsly messages. No further texts will be sent." No further messages will be sent to that number. You may also contact us at support@nodsly.com to request removal.
Help: For assistance, reply HELP to any message. After replying HELP, you will receive: "Nodsly sends review requests on behalf of [Business Name]. For help, email support@nodsly.com or visit nodsly.com/contact. Reply STOP to cancel." You may also contact us directly at support@nodsly.com.

Supported Carriers: Messages are sent via major carriers including AT&T, T-Mobile, Verizon, and others. Carrier support may vary. Nodsly is not responsible for delayed or undelivered messages caused by carrier issues.

4. Business Account Holder Obligations
If you are a business using Nodsly, you agree to the following:
- You will only provide Nodsly with contact information for customers who have given proper, documented opt-in consent to receive SMS review requests.
- You are responsible for maintaining records of opt-in consent for your customers.
- You will not use Nodsly to send messages for purposes other than review collection and feedback.
- You will comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any other relevant federal, state, or local regulations.
- You will promptly inform Nodsly of any opt-out requests received outside of the Nodsly platform.
5. Acceptable Use
You agree not to use the Nodsly platform to:
- Send unsolicited or spam messages
- Send messages to individuals who have not provided consent
- Harass, threaten, or abuse any person
- Transmit unlawful, defamatory, or harmful content
- Impersonate any person or entity
- Attempt to gain unauthorized access to our systems
- Violate any applicable local, state, national, or international law
We reserve the right to suspend or terminate accounts that violate these terms.
6. Intellectual Property
The Nodsly name, logo, website, and all associated content, features, and functionality are owned by Nodsly and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission.
7. Third-Party Platforms
Nodsly integrates with third-party review platforms (such as Google, Yelp, Facebook, and others). We are not responsible for the terms, policies, or availability of these platforms. Your use of third-party platforms is governed by their respective terms of service.
8. Disclaimer of Warranties
The Nodsly platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that our Services will be uninterrupted, error-free, or secure.
9. Limitation of Liability
To the maximum extent permitted by law, Nodsly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our Services, including but not limited to loss of revenue, data, or business opportunities.
10. Indemnification
You agree to indemnify and hold harmless Nodsly, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our Services, your violation of these Terms, or your violation of any applicable law or regulation.
11. Termination
We may suspend or terminate your access to our Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Services will cease immediately.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.
